These Terms of Service (“Terms”) govern your use of Underwrote.AI (“the Service,” “we,” “us”). By creating an account or using the Service, you agree to these Terms.
You must be at least 18 years old and legally capable of entering a contract to use the Service. You are responsible for keeping your login credentials secure and for all activity under your account.
Each account is for one person. Sharing logins is prohibited. Multi-user team accounts will be available in a future release; until then, each user must register individually.
Underwrote.AI is an institutional-quality hospitality real estate underwriting tool. It provides a wizard-driven proforma engine, Excel exports, IC memo generation, and AI-assisted document extraction.
Outputs of the Service — proforma numbers, exit values, return metrics, IC memos — are generated from your inputs by deterministic code (proforma engine) and AI models (IC memo narrative). They are tools to assist your underwriting work, not financial advice or guarantees of investment outcomes. You are solely responsible for verifying outputs and for the underwriting decisions you make based on them.
The Service offers a Lite tier (free) and a Pro tier (paid). Pro features include Excel export, IC memo generation with PDF, full scenario + sensitivity tabs, and document extraction.
New Pro subscriptions begin with a 7-day free trial. Your card is required at signup but not charged during the trial. You can cancel at any time during the trial through the Customer Portal and you will not be charged.
After the trial, your card is charged the subscription fee according to the plan you selected (Monthly or Annual). Renewals are automatic. You can cancel renewal at any time; cancellation takes effect at the end of the current billing period and you retain Pro access until that date.
We may change pricing for new subscriptions at any time. Existing subscribers will be notified by email at least 30 days before any price change applies to their renewal.
The Single Export feature allows Lite users to purchase a one-time Excel export of a specific deal for $79. Each Single Export entitles you to one Excel download of the deal as it existed at the time of purchase. Edits made to the deal after purchase do not change the exported file’s contents — the export is a snapshot of the deal’s state at purchase time.
Single Export purchases are refundable within 14 days of purchase if you have not yet downloaded the file, and after download at our discretion. Email support@underwrote.ai to request a refund.
You agree not to:
Violation of acceptable-use rules may result in account suspension without notice and without refund.
You retain ownership of all data you upload, create, or generate on the Service. You grant us a limited license to host, process, and display your data solely to operate the Service for you.
We do not use your deal data or uploaded documents to train AI models. Document extraction and IC memo generation are processed through the Anthropic API; see the Privacy Policy for details on AI vendor processing.
THE SERVICE IS PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR UNINTERRUPTED OPERATION.
Outputs of the proforma engine and IC memo generator are not financial, legal, tax, or investment advice. We make no representations as to the accuracy of any extracted data, the appropriateness of any modeling assumption, or the outcome of any investment decision. You are solely responsible for verifying outputs and for your underwriting decisions.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL UNDERWROTE.AI BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS OR LOST INVESTMENTS, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.
Our total aggregate liability arising out of or related to these Terms or the Service shall not exceed the greater of (a) the amount you paid us in the 12 months preceding the event giving rise to the claim, or (b) USD $100.
You may terminate your account at any time by emailing support@underwrote.ai. Upon termination, we will delete your account and associated data within 14 days, except as required to comply with legal obligations.
We may suspend or terminate your account for material breach of these Terms (including violations of acceptable use), for non-payment, or as required by law. We will provide notice when reasonable to do so.
These Terms are governed by the laws of the State of Texas, without regard to conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Service shall be resolved in the state or federal courts located in Travis County, Texas, and you consent to the exclusive jurisdiction of those courts.
We may update these Terms from time to time. Material changes will be announced via email to active users at least 14 days before they take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
